WHAT A 1031 EXCHANGE IS

A reinvestment strategy,
not a tax eraser.

A properly structured Section 1031 exchange may allow an owner to defer recognition of some taxable gain when qualifying investment or business real property is exchanged for other qualifying real property. The tax outcome depends on the full transaction and the owner’s facts.

For 2018 and later years, Section 1031 applies only to real property held for investment or productive use in a trade or business.Personal residences and property held primarily for resale generally do not qualify.

THE BASIC TIMELINE

Two dates shape the process.

45

Days to identify

After closing the relinquished property, identify potential replacement property in writing within 45 days. The identification rules are precise—work with your qualified intermediary and tax adviser early.

180

Days to acquire

Complete the replacement-property acquisition by the earlier of 180 days after the sale or your tax-return due date, including extensions.

Timing rules summarized from IRS Form 8824 instructions and Publication 544.

A PRACTICAL CHECKLIST

What to do.
What to avoid.

Every exchange should be coordinated with a qualified intermediary, tax professional, attorney, lender, and brokerage team as appropriate.

DO

  • Start planning before the property sale closes.
  • Engage a qualified intermediary before closing.
  • Review likely replacement options before the 45-day identification window begins.
  • Identify property in writing, following the applicable identification rules.
  • Model debt, equity, cash needs, operating assumptions, and timeline together.
  • Keep clear records and coordinate closely with your tax adviser.

DON’T

  • Take possession or control of sale proceeds yourself.
  • Assume any real estate automatically qualifies.
  • Wait until after closing to choose the qualified intermediary.
  • Miss the 45-day or 180-day deadlines.
  • Ignore possible taxable cash received, debt relief, closing costs, or ownership-structure issues.
  • Rely on this page as legal, tax, or financial advice.

POTENTIAL BENEFITS & TRADEOFFS

Helpful when the fit is right.

POTENTIAL BENEFITS

More capital positioned for reinvestment

Deferring recognized gain may leave more proceeds available for replacement-property equity, subject to transaction costs, financing, and tax advice.

POTENTIAL BENEFITS

Portfolio repositioning

An owner may use an exchange to move among qualifying real-property types, markets, management demands, or asset sizes.

TRADEOFFS

Strict execution requirements

Deadlines, identification rules, financing, and inventory constraints can make an exchange challenging. Deferred tax is not necessarily eliminated.

MULTIFAMILY & 1031 ACTIVITY

What the data can tell us.

There is no comprehensive public, real-time national count of multifamily properties bought and sold through 1031 exchanges. Property-level exchange treatment is generally not reported in public sale data.

One often-cited 2020 industry-sponsored study estimated that multifamily represented 38% of commercial real-estate 1031 exchanges in its underlying data.

That is a share of exchanges in the study—not a count of all U.S. multifamily transactions or a prediction of future activity. Treat it as directional context, not a market statistic for a specific property or area.

START EARLY

Talk through the
property and timing.

If you are considering a disposition or evaluating replacement options, a conversation before closing can help define the brokerage and market work ahead.
